These Terms & Conditions (“Terms”) govern the provision of services by Sirocco Productions Limited (“Sirocco Productions”, “Sirocco”, “we”, “us” or “our”) and, where applicable, the use of our website, participation in events produced or managed by us, and our dealings with clients, attendees, vendors, contractors and other users of our services.
By engaging Sirocco, booking our services, purchasing or using an event ticket where these Terms apply, accessing our website, or participating in an event produced or managed by us, you agree to be bound by the applicable provisions of these Terms.

Sirocco provides event production, event management, experiential marketing, brand activations, event design, audiovisual production and related creative and production services.
2. DEFINITIONS
For these Terms:
“Client” means the individual, company, organisation or other entity engaging Sirocco to provide services.
“Event” means an event, activation, production, campaign, experience or other project produced, managed or supported by Sirocco.
“Services” means the services described in Sirocco’s quotation, proposal, contract, statement of work, invoice or other written agreement with the Client.
“Attendee” means any person attending or participating in an Event.
“Vendor” means a third-party supplier, contractor, freelancer, performer, venue or service provider engaged in connection with an Event.
3. ENGAGEMENT AND ACCEPTANCE
A Client’s acceptance of a quotation, proposal, invoice, contract, statement of work or other written confirmation from Sirocco constitutes acceptance of these Terms unless otherwise agreed in writing.
Where a separate written agreement has been signed between Sirocco and a Client, that agreement will prevail over these Terms to the extent of any inconsistency.
4. QUOTATIONS AND PROPOSALS
Quotes and proposals are based on the information available to Sirocco at the time they are prepared.
Unless otherwise stated in writing:
- Quotes are subject to change before formal acceptance;
- Third-party costs may change based on supplier pricing and availability;
- Venue, logistics, technical, staffing, transport and production requirements may affect final pricing;
- Additional services requested after approval may incur additional charges.
A quotation does not constitute confirmation of a booking until Sirocco has received the required acceptance and payment.
5. DEPOSITS AND PAYMENTS
Sirocco may require a deposit or advance payment before commencing work or confirming an Event.
The applicable payment schedule will be stated in the Client’s quotation, proposal, invoice or contract.
Unless otherwise agreed in writing:
- Payments must be made by the stated due dates;
- Sirocco may suspend work where required payments are overdue;
- Third-party costs may need to be paid before Sirocco can confirm the relevant supplier or service;
- Outstanding balances remain payable even where a Client delays providing information or approvals required for the Event.
6. ADDITIONAL COSTS AND CHANGES
Changes requested by a Client after approval of a proposal may result in additional charges.
These may include changes relating to:
- Guest numbers;
- Venue;
- Event date or timing;
- Design;
- Branding;
- Production requirements;
- Equipment;
- Staffing;
- Entertainment;
- Transportation;
- Accommodation;
- Security;
- Catering;
- Technical requirements; or
- Other event-related services.
Sirocco will, where reasonably practicable, notify the Client of material additional costs before incurring them.
7. CLIENT RESPONSIBILITIES
The Client agrees to:
- Provide accurate and timely information;
- Provide necessary approvals and instructions;
- Make payments on time;
- Obtain any permissions or information that is the Client’s responsibility to obtain;
- Ensure that Client-provided materials do not infringe third-party rights;
- Cooperate with Sirocco and relevant vendors;
- Communicate material changes promptly; and
- Comply with applicable laws and venue rules.
Sirocco will not be responsible for delays or additional costs resulting from the Client’s failure to provide required information, approvals, materials or payments on time.
8. CANCELLATION BY THE CLIENT
If a Client cancels an Event or Services after confirmation, Sirocco may retain amounts already paid to the extent permitted by the applicable contract and may charge cancellation costs reasonably incurred.
Cancellation costs may include:
- Non-refundable vendor deposits;
- Venue charges;
- Production costs;
- Design and creative costs;
- Staffing commitments;
- Equipment reservations;
- Administrative expenses; and
- Other reasonable costs incurred in preparation for the Event.
Any refund will be determined according to the applicable contract, quotation or cancellation terms.
9. POSTPONEMENT OR RESCHEDULING
Where a Client requests that an Event be postponed or rescheduled, Sirocco will use reasonable efforts to accommodate the new date.
Rescheduling is subject to:
- Vendor availability;
- Venue availability;
- Production availability;
- Changes in supplier pricing;
- Existing commitments; and
- Other operational considerations.
Additional costs resulting from postponement or rescheduling may be charged to the Client.
10. CANCELLATION OR CHANGES BY SIROCCO
Sirocco may cancel, postpone or materially alter an Event where reasonably necessary because of circumstances including:
- Force majeure;
- Venue unavailability;
- Government restrictions;
- Safety concerns;
- Security concerns;
- Supplier failure;
- Technical failure;
- Severe weather;
- Public emergencies;
- Unforeseen operational circumstances; or
- Other circumstances outside Sirocco’s reasonable control.
Where reasonably possible, Sirocco will notify affected Clients and seek an appropriate alternative.
11. FORCE MAJEURE
Sirocco will not be liable for failure or delay in performing its obligations where caused by circumstances beyond its reasonable control.
Such circumstances may include natural disasters, fire, flood, epidemic or pandemic, war, civil unrest, strikes, government action, terrorism, power failure, severe weather, transportation disruption, venue closure, supplier failure or other unforeseeable circumstances.
12. THIRD-PARTY VENDORS
Sirocco may engage third-party vendors, contractors and service providers to deliver an Event.
While Sirocco will make reasonable efforts to work with reliable suppliers, Sirocco is not responsible for circumstances caused directly by a third-party supplier where Sirocco has acted reasonably in managing the engagement.
Where appropriate, Sirocco may substitute a supplier with another supplier providing reasonably comparable services.
13. VENUES
Clients and attendees must comply with the rules, safety requirements and policies of event venues.
Where venue rules conflict with these Terms, the venue’s mandatory safety and operational requirements will apply while the Event is taking place.
Sirocco may refuse access to, or remove, any person whose conduct creates a safety, security or operational risk.
14. ATTENDEE CONDUCT
Attendees must behave responsibly and comply with:
* Event rules;
* Venue rules;
* Security instructions;
* Applicable laws; and
* Reasonable instructions from Sirocco staff or authorised event personnel.
Sirocco reserves the right to refuse entry or remove an attendee without refund where the attendee engages in unlawful, abusive, threatening, violent, disruptive or unsafe behaviour.
15. EVENT SAFETY
Sirocco takes reasonable steps to support safe event operations.
However, attendees participate in Events at their own responsibility and must follow all reasonable safety instructions.
Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
16. TICKETS AND EVENT ACCESS
Where Sirocco is responsible for ticketing or event access:
- Tickets may be subject to availability;
- Tickets may not be transferable where expressly stated;
- Attendees may be required to present valid tickets or identification;
- Duplicate, fraudulent or altered tickets may be rejected;
- Entry may be subject to security checks; and
- Sirocco may change event access arrangements where reasonably necessary for safety or operational reasons.
Specific ticket terms may apply to individual Events.
17. EVENT CONTENT, PHOTOGRAPHY AND FILMING
Events may be photographed, filmed or recorded.
By attending an Event, you acknowledge that you may appear incidentally or prominently in photographs, videos or other recordings.
Sirocco and/or the relevant Event organiser may use such content for:
- Event documentation;
- Reporting;
- Social media;
- Marketing;
- Advertising;
- Public relations;
- Portfolios;
- Promotional materials; and
- Other legitimate business purposes.
Where applicable, specific notices or consent arrangements may apply to particular Events.
If you have concerns regarding photography or filming, please contact Sirocco before or during the Event where reasonably possible.
18. INTELLECTUAL PROPERTY
Unless otherwise agreed in writing, Sirocco retains ownership of its pre-existing intellectual property, including:
- Concepts;
- Creative approaches;
- Designs;
- Templates;
- Production methods;
- Proposals;
- Presentations;
- Processes;
- Photography and video created by Sirocco; and
- Other original materials created by Sirocco.
Payment for Services does not automatically transfer ownership of Sirocco’s underlying intellectual property unless expressly agreed in writing.
19. CLIENT MATERIALS
The Client grants Sirocco permission to use Client-provided logos, trademarks, photographs, videos, copy, designs and other materials solely to provide the agreed Services.
The Client represents that it has the necessary rights and permissions to provide such materials to Sirocco.
The Client remains responsible for claims arising from materials supplied by the Client that infringe third-party rights.
20. CONFIDENTIALITY
Each party agrees to treat confidential business, financial, commercial, creative and operational information received from the other party as confidential, except where disclosure is:
- Required by law;
- Required to provide the Services;
- Made to professional advisers or authorised contractors; or
- Otherwise authorised by the relevant party.
21. LIABILITY
Sirocco will use reasonable skill and care in providing its Services.
To the extent permitted by law, Sirocco will not be responsible for indirect, incidental, consequential or unforeseeable losses arising from an Event or Service.
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful.
22. CLIENT INDEMNITY
To the extent permitted by law, the Client agrees to indemnify Sirocco against reasonable claims, losses, costs or expenses arising from:
- Client-provided materials;
- Client instructions;
- Client’s breach of these Terms;
- Unlawful conduct by the Client or persons acting on the Client’s behalf; or
- Damage caused by the Client or persons under the Client’s responsibility.
23. WEBSITE USE
Visitors to siroccoproductions.org agree not to:
- Use the website unlawfully;
- Attempt to gain unauthorised access to systems;
- Introduce malicious software;
- Copy or reproduce website content without permission;
- Misrepresent their identity or relationship with Sirocco; or
- Interfere with the operation or security of the website.
24. PRIVACY
Personal data collected through our Services and website will be handled in accordance with Sirocco’s Privacy Policy and applicable Nigerian data-protection law.
Our Privacy Policy explains how we collect, use, disclose and protect personal information.
25. THIRD-PARTY LINKS
Our website or communications may contain links to third-party websites.
Sirocco does not control and is not responsible for the content, availability, security or privacy practices of third-party websites.
26. CHANGES TO SERVICES AND TERMS
Sirocco may update these Terms from time to time.
The version applicable to a Client’s engagement will generally be the version in force when the relevant Services are agreed, unless the parties agree otherwise in writing.
Specific project agreements may contain additional or different terms.
27. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Subject to any applicable alternative dispute-resolution procedure agreed between the parties, disputes arising from these Terms shall be subject to the jurisdiction of the appropriate courts in Nigeria.
28. DISPUTE RESOLUTION
Sirocco encourages parties to attempt to resolve disputes through good-faith communication before commencing formal proceedings.
Where appropriate, the parties may agree to mediation or another alternative dispute-resolution mechanism.
Nothing in this clause prevents a party from seeking urgent legal relief where necessary.
29. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be modified or removed to the minimum extent necessary, while the remaining provisions will continue to apply.
30. ENTIRE AGREEMENT
These Terms, together with any applicable quotation, proposal, contract, statement of work or other written agreement between Sirocco and the Client, constitute the agreement governing the relevant Services.
